Our Services Include:

  • 24/7 Security Operations Center (SOC) monitoring
  • Threat detection and incident response
  • Vulnerability assessments and penetration testing
  • Security awareness training
  • Compliance management and reporting
  • Endpoint protection and management
  • Network security monitoring

3. Use License

Permission is granted to temporarily download one copy of the materials on our website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to decompile or reverse engineer any software contained on our website
  • Remove any copyright or other proprietary notations from the materials

4. Client Responsibilities

Clients engaging our services agree to:

Violation of these responsibilities may limit liability or invoke termination rights.

5. Service Level Agreements

Specific performance metrics, response times, and service guarantees are detailed in individual Service Level Agreements (SLAs) executed between Simple Cyber Technology and each client. These SLAs form an integral part of the service contract and take precedence over these general Terms of Service where applicable.

6. Disclaimer of Warranties

Important Notice: Our services are provided "as is." While we strive to provide the highest level of security, Simple Cyber Technology makes no warranties, expressed or implied, that our services will prevent 100% of all cyber threats or unauthorized access. Cybersecurity is an evolving field, and no security measure can guarantee complete protection against all potential threats.

7. Limitation of Liability

In no event shall Simple Cyber Technology or its suppliers be liable for any damages (including, without limitation, damages for loss of data, loss of profit, business interruption, or other pecuniary loss) arising out of the use or inability to use the materials on our website or our services, even if Simple Cyber Technology or an authorized representative has been notified orally or in writing of the possibility of such damage.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by the client for services during the twelve months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Simple Cyber Technology, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of our services
  • Your violation of these Terms of Service
  • Your violation of any third-party rights
  • Any unauthorized access to systems under your control

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the business relationship. This includes, but is not limited to, security vulnerabilities, business processes, and client data. This obligation survives the termination of the service agreement.

10. Payment Terms

Payment terms are specified in individual service agreements. Generally, services are billed monthly in advance unless otherwise agreed. Late payments may result in service suspension and may incur late fees as specified in the service agreement. All fees are non-refundable unless otherwise stated in writing.

11. Termination

Either party may terminate the service agreement with written notice as specified in the individual SLA. Simple Cyber Technology reserves the right to immediately suspend or terminate services if:

  • Payment obligations are not met
  • The client violates these Terms of Service
  • The client's actions pose a security risk to our systems or other clients
  • Required by law or regulatory authority

12. Modifications to Terms

We reserve the right to revise these Terms of Service at any time without notice. By using this website and our services, you are agreeing to be bound by the then-current version of these Terms of Service. Material changes will be communicated to active clients via email or through their client portal.

13. Governing Law

Any claim relating to Simple Cyber Technology's website or services shall be governed by the laws of California without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in California.

14. Dispute Resolution

If the dispute cannot be resolved through negotiation within 60 days, the parties agree that the disputes shall be resolved through binding arbitration in accordance with the rules of the California Arbitration Act (CAA). Arbitration shall be conducted in California, unless otherwise mutually agreed to in writing. By proceeding with use of this website and accepting these Terms of Service, you acknowledge that you knowingly and voluntarily agree to submit disputes to arbitration.

15. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original provision.

16. Entire Agreement

These Terms of Service, together with any SLAs and other written agreements between Simple Cyber Technology and the client, constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
